This document is a public offer (the “Offer”) by Seven Digital Network Services LLC, license No. 1070008 (the “Service Provider”), addressed to any legal entity or individual entrepreneur that wishes to obtain Internet number resources assignment services (the “Customer”).
By submitting an order through the Service Provider’s website https://anyip.com
(the “Website”) and/or by paying an invoice (or completing online payment), the Customer confirms full and unconditional acceptance of this Offer (the “Acceptance”). The Offer and Acceptance together form a legally binding agreement (the “Agreement”) on the terms set out below.
Effective Date: the date of Acceptance.
1. Definitions
1.1. RIPE NCC means Réseaux IP Européens Network Coordination Centre.
1.2. LIR means Local Internet Registry authorized by RIPE NCC.
1.3. Internet Number Resources means IPv4 addresses, IPv6 addresses, Autonomous System (AS) numbers, and related registry services.
1.4. Independent Internet Number Resources means Provider Independent (PI) resources or other independent resources assigned in accordance with RIPE policies (as applicable).
1.5. RIPE Database means the RIPE registry database used for Internet number resources registration.
1.6. Price List means the current list of fees for services published on the Website.
2. Subject of the Agreement
2.1. The Service Provider is an LIR authorized by RIPE NCC to assign Internet number resources to end users in accordance with applicable RIPE NCC rules and policies.
2.2. The Customer requests, and the Service Provider provides, services for the assignment and renewal of assignment of Internet number resources and related services, on the basis of Customer applications/orders submitted via the Website and/or otherwise accepted by the Service Provider.
3. Acceptance Procedure and Contract Formation
3.1. The Customer accepts this Offer by performing any of the following actions:
- submitting an order/application through the Website; and/or
- paying for the services (including online payment, bank transfer, or other payment methods indicated by the Service Provider); and/or
- paying an invoice issued by the Service Provider.
3.2. Unless the Service Provider explicitly states otherwise in writing, payment for services constitutes the Customer’s full and unconditional Acceptance of this Offer.
3.3. The Customer represents that it has the legal capacity and authority to enter into this Agreement and that all information provided to the Service Provider is true, complete, and up to date.
4. Assignment of Internet Number Resources
4.1. The Service Provider shall, based on the Customer’s applications/orders, assign and renew the assignment of Internet number resources and provide other services under this Agreement. The Customer shall accept and pay for the services under this Agreement.
4.2. Assignment and renewal shall be performed in compliance with the current rules and policies of RIPE NCC and the terms of this Agreement.
4.3. The term of assignment (or renewal) for specific Internet number resources shall be indicated by the Service Provider in the invoice and/or in the Customer’s account on the Website (if applicable).
4.4. The Customer acknowledges that once the service of assigning Internet number resources is rendered and the Internet number resources are entered into the RIPE Database, all payments for such service are non-refundable.
4.5. The Customer agrees that the service is considered rendered upon entry of the assigned Internet number resources into the RIPE Database.
4.6. The Customer receives only a right to use the Internet number resources for the duration of this Agreement. Assignment does not transfer ownership rights. Use is subject to RIPE policies as published on the RIPE NCC website and as amended from time to time in accordance with the RIPE policy process.
4.7. The Customer must provide up-to-date registration data to the Service Provider. The Customer understands that assignment may result in publication of such data in the RIPE Database identifying the Customer as the assignee of the respective Internet number resources.
4.8. The Customer shall not assign, delegate, sub-delegate, lease, transfer, or otherwise allow third parties to use any Independent Internet Number Resources assigned to it, except as may be expressly permitted by RIPE policies and only with the Service Provider’s prior written consent (if required by the Service Provider).
4.9. The Customer shall use the assigned Independent Internet Number Resources solely for the purpose specified in the request/order on the basis of which the resources were assigned and in compliance with RIPE policies.
5. Fees, Invoicing, and Payment
5.1. Fees for assignment and renewal are determined in accordance with the current Price List published on the Website. The Price List forms an integral part of this Agreement.
5.2. The Service Provider may unilaterally change the Price List (increase or decrease). The updated Price List shall be made available on the Website and/or sent to the Customer at least one (1) calendar month prior to the effective date of changes.
5.3. If the Customer does not agree with the updated Price List, the Customer may reject the changes by terminating this Agreement within ten (10) business days from receipt of the notice (or from the date the notice is deemed received under Section 9). If the Customer continues to use services and/or pays invoices after the effective date, this constitutes acceptance of the updated Price List for new applications/orders submitted after the changes take effect.
5.4. The Customer shall pay for assigned resources in accordance with invoices issued by the Service Provider. Payments may be monthly or annual depending on the resource type and the invoice.
5.5. If the Customer fails to pay for renewal for the corresponding period, the Service Provider may suspend provision of services to the Customer until full payment is received.
5.6. If payment delay exceeds ten (10) calendar days, the Service Provider reserves the right to assign the Internet number resources to another party, where permitted by RIPE policies and operational constraints. If resources are reassigned, renewal of the assignment to the previous Customer may be impossible.
6. Obligations of the Parties
6.1. The Service Provider shall:
- comply with this Agreement;
- provide assignment/renewal services in accordance with RIPE policies;
- liaise with the Customer to keep registration records up to date in the RIPE Database;
- provide reasonable assistance regarding use and management of assigned resources (within the scope of purchased services);
- notify the Customer of material changes to this Offer/Agreement terms and relevant policies at least one month in advance, where applicable.
6.2. The Customer shall:
- use assigned resources solely for its own operational needs and within its own network;
- ensure all registration data provided is accurate and up to date and acknowledge possible publication in the RIPE Database;
- comply with RIPE policies and this Agreement;
- promptly provide information and documentation required for service provision upon request;
- avoid unlawful activity using assigned resources and promptly take actions to remedy any such activity detected.
7. Term and Termination
7.1. This Agreement enters into force on the Effective Date and remains in effect until terminated.
7.2. Either party may terminate this Agreement by giving thirty (30) calendar days’ written notice to the other party.
7.3. The Service Provider may terminate this Agreement immediately by sending notice to the Customer’s registered email address, without liability for damages and without prejudice to the Service Provider’s right to claim damages, if:
- the Customer violates Sections 4 and/or 6 regarding use and management of assigned resources;
- the Customer fails to perform any other obligations under this Agreement and does not cure such failure within ten (10) days of receiving notice;
- an application is filed for the Customer’s bankruptcy;
- the Customer enters liquidation or becomes insolvent;
- payment delay exceeds twenty (20) calendar days;
- the Service Provider cannot contact the Customer via the email or phone provided by the Customer within ten (10) business days.
7.4. Upon termination, the Customer must immediately cease all use of the assigned Internet number resources. The Service Provider shall request RIPE NCC to delete the RIPE Database record for the Independent Internet Number Resources assigned pursuant to this Agreement and request RIPE NCC to take measures to revoke Reverse DNS for the respective resources. The Customer accepts that the Service Provider and RIPE NCC may take other necessary measures to enable the resources to become eligible for re-assignment to other end users.
8. Non-Refund Policy for Rendered Assignment
8.1. The Customer expressly agrees that once the assigned Internet number resources are registered in the RIPE Database, the service is rendered and payments related to such assignment are non-refundable.
9. Notices and Electronic Communication
9.1. The Customer consents to receive legally relevant notices and communications electronically (including via email and/or through the Website account interface, if available).
9.2. Notices sent to the Customer’s email address provided during order/application (or subsequently updated by the Customer) are deemed received on the date of sending, unless the sender receives a delivery failure notice.
9.3. The Customer is responsible for keeping its email address and other contact details current.
10. Entire Agreement and Amendments
10.1. This Agreement (including the Price List published on the Website) constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements and understandings, whether written or oral.
10.2. The Service Provider may update this Offer/Agreement by publishing a revised version on the Website. Unless otherwise stated, revisions take effect no earlier than one (1) calendar month after publication/notification. Continued use of services and/or payment after the effective date constitutes acceptance of the updated terms.
11. Governing Law
11.1. This Agreement shall be governed by the laws of the United Arab Emirates.
